§1. General Provisions
These Terms govern the acceptance, performance and publication of advertisements in Manufacturing Journal.
They form an integral part of every advertising order unless the parties agree otherwise in writing.
Placing an advertising order constitutes acceptance of these Terms.
§2. Formation of the Agreement
An advertising order becomes binding once it has been confirmed by the Advertiser and accepted by the Publisher.
Confirmation may be made by e-mail, by a signed written order or by another mutually agreed electronic form.
Once the order has been confirmed, the advertising space is reserved exclusively for the Advertiser and withdrawn from further sale.
§3. Premium Advertising Positions
Premium advertising positions include, in particular: Cover I - outside front cover, Cover II - inside front cover, Cover III - inside back cover and Cover IV - outside back cover, as well as any other positions designated by the Publisher as Premium positions.
Each Premium position is reserved exclusively for one Advertiser.
§4. Advertising Materials
The Advertiser shall supply complete advertising materials by the deadline specified by the Publisher.
§5. Reservation of Advertising Space
Following confirmation of the order, the Publisher withdraws the reserved advertising space from further sale.
The Advertiser acknowledges that cancellation of an order may cause actual financial loss to the Publisher.
The Publisher is not obliged to seek a replacement advertiser.
§6. Delivery of Advertising Materials
Delivery of advertising materials by the Advertiser or by any party acting on its behalf constitutes confirmation that the order is to be performed.
Upon receipt of the final advertising materials, the Publisher is entitled to commence the production process.
§7. Liability
The Advertiser bears full responsibility for the content of the advertisement and its compliance with applicable law.
The Advertiser represents that it holds all rights, consents and permissions required to use and publish the materials supplied, including texts, photographs, graphics, trademarks and images of individuals.
The Advertiser shall indemnify and hold the Publisher harmless against third-party claims arising from publication of the advertisement or use of materials supplied by the Advertiser.
The Publisher may refuse to publish materials that infringe applicable law, third-party rights, generally accepted standards of conduct or the Publisher's editorial policies.
§8. Amendments and Cancellation
Manufacturing Journal is published three times per year; therefore, advertising space is sold and reserved several months in advance.
The periods specified below are calculated in calendar days backwards from the scheduled publication date of the relevant issue, as stated in the order or order confirmation.
Cancellation must be submitted in writing or by e-mail. The cancellation date is the date on which the Publisher receives the Advertiser's clear and unambiguous notice of cancellation.
Cancellation 61 days or more before the scheduled publication date results in a cancellation charge equal to 50% of the net order value.
Cancellation 60 days or less before the scheduled publication date results in a cancellation charge equal to 100% of the net order value.
If, before cancellation, the Publisher has received the final advertising materials and commenced the production process, the Advertiser is liable for 100% of the net order value, irrespective of the cancellation date.
§9. Payment Terms
Payment is due within 14 days from the invoice date unless the parties agree otherwise.
In the event of late payment, the Publisher may charge statutory interest for late payment.
§10. Final Provisions
All agreements are governed by the laws of the Republic of Poland.
Any dispute shall be submitted to the court having territorial jurisdiction over the Publisher's registered office.
